1. THERE ARE 2 WAYS TO ENTER (1) To enter via the Internet: Access the United Industries Corporation Website at www.repelcmagiveaway.com and follow the entry directions to enter the Sweepstakes. Normal access, phone/usage charges imposed by your online/phone service will apply. All entries must be complete to be eligible. Limit one entry per household or per email address per day, regardless of entry method. “Household” shall mean all those living in the same dwelling with the same legal address. All online entries must be received by 11:59:59 pm ET on 5/15/08. On-line entrant must be the registered subscriber of the e-mail account by which the entry is made. In the event of a dispute as to entries submitted, only the authorized subscriber of the e-mail account (as specified by the Internet Service Provider) used to enter the sweepstakes at actual time of entry will be deemed the entrant. Entries made by any individual or any entity other than the named entrant and/or originating at any other Internet Website, including (but not limited to) commercial sweepstakes subscription notification and/or entering service sites are void. (2) To enter via postal mail: Mail a 3”x5” piece of paper with your complete name, address, city, state, zip, daytime phone and age in a #10 envelope addressed to: Repel CMA Music Festival Sweepstakes Entries, c/o Victory Management, 8223 Village Harbor Dr., Cornelius, NC 28031. Mail-in entries must be postmarked by 5/15/08 and received by 5/1708. Limit one entry per outer envelope. OR, at participating Repel® retail stores, complete an Official Entry Form (while supplies last) including your name, address, city, state, zip code, age and daytime phone number and mail to the address stated in Postal Mail Entries above. Photocopies and mechanically reproduced entries will not be accepted. All entries become the property of Sponsor and will not be returned. By entering, entrant accepts and agrees to be bound by these Official Rules and the decisions of the judges, which is final and binding in all matters regarding this Sweepstakes.

2. PRIZE DESCRIPTION, QUANTITIES, and APPROXIMATE RETAIL VALUE (ARV): There will be One (1) Grand Prize awarded. The Grand Prize consists solely of a trip for two (2) to the 2008 CMA Music Festival on June 5 – 8, 2008 in Nashville, TN. Prize also includes of two (2) tickets to the CMA Music Festival, two roundtrip coach airline tickets from major airport nearest to winner’s home (as determined by Sponsor) unless winner resides within 100 miles of Nashville, TN. In that event, winner will receive $200 in cash, payable by check for transportation to Nashville, transportation to and from the Nashville Airport to the hotel, three nights standard hotel accommodations, double occupancy, at hotel of Sponsor’s choice, a gift bag valued at $250. Transportation to and from winner’s home to airport is not included. All other expenses relating to acceptance of Prize not explicitly stated herein, including but not limited to taxes, meals, beverages, alcoholic beverages, gratuities and transportation are responsibility of prize winner and guest. Winner may receive less than 30 days notice prior to trip departure. If for any reason the potential prize winner cannot take the trip on a date specified by the Sponsor, the Sponsor shall have no further obligation to the potential prize winner. Travel companions must travel on the same itinerary as winner and provide travel documents required for travel. Travel arrangements must be made through Sponsor’s agent. Trip date is at the sole discretion of Sponsor. Certain travel restrictions and blackout dates may apply. Sponsor makes no guarantee that the CMA Music Festival will take place at time of visit. Complete terms and conditions of Prize trip will be furnished with prize notification. Winner’s travel companions, or the parents or legal guardians if companions are minors, will be required to sign, have notarized and return to Creative Marketing Communications, Inc. (“CMC”) prior to trip, a release of liability, and (except where prohibited by law) a publicity release. Prize is non-transferable and no substitutions or cash equivalents will be allowed, except at the sole discretion of the Sponsor, who reserves the right to award prize of equal or greater value. Actual value of prize may vary based on winner’s point of departure and dates of travel. ARV: $3,450.

3. ODDS OF WINNING: Odds of winning depend on the number of eligible entries received for the sweepstakes and are equal regardless of entry method.

4. SWEEPSTAKES RANDOM DRAWING: Winner will be determined in a random drawing on or about 5/19/08 by CMC, an independent judging organization whose decisions will be final and binding in all matters relating to this sweepstakes. Potential prizewinner may be notified by E-mail, overnight mail and/or via telephone on or about 5/19/08, and will be required to sign an Affidavit of Eligibility and Publicity/Liability Release within seven (7) days of prize notification letter or prize will be forfeited and may be awarded to another potential winner. If potential winner cannot be located or does not respond within seven (7) days of the first attempted delivery notification, prize will automatically be forfeited and an alternate potential winner selected. Prize is not redeemable for cash and is not transferable. Prize will be awarded.

5. ELIGIBILITY: Sweepstakes open only to legal residents of the contiguous United States including the District of Columbia, who are 18 years or older as of 3/1/08. Employees of the following entities and members of their immediate families or households are not eligible to enter the sweepstakes under any circumstances: Victory Management, United Industries Corporation, their parents, subsidiaries and affiliated and successor companies and their respective officers, directors, shareholders, members, employees, agents and all those involved in the development and implementation of this Sweepstakes, their assigns and CMC. All Federal, state and local laws and regulations apply.

LIMITATION OF LIABILITY AND GENERAL CONDITIONS: By participating, all entrants agree to be bound by the decisions of the judges and these Official Rules with respect to all Sweepstakes related matters. Acceptance of any prize constitutes permission for Sponsors to use winners' name, voice, likeness and/or videotape/photograph and any information provided on his/her entry form for publicity purposes in any communication medium, including, but not limited to, television, Internet, radio, and print without additional compensation, review or approval, except where prohibited by law. By participating in the Sweepstakes, entrants agree to release, indemnify and hold harmless Victory Management, United Industries Corporation, CMC, and their respective affiliates, and each of their officers, directors, employees and, parents, subsidiaries, affiliates, licensees, prize suppliers and successor companies, contractors, sponsors, advertisers, advertising or promotion agencies, individuals engaged in the development, production or distribution of materials or in the implementation of the Sweepstakes, (“Releasees”) from and against any injuries, losses, damages, claims, actions or liability of any kind resulting from or arising from participation in the Sweepstakes or acceptance, possession, use, misuse or nonuse of any prize (including any travel related thereto) that may be awarded. Entrants further agree that the laws of the state of Illinois will govern any and all disputes. Releasees are not responsible for printing or typographical errors in any Sweepstakes related materials; for transactions or entries that are lost, stolen, late, misdirected, damaged, incomplete, inaccurate, garbled, failed to enter into the processing system, or are processed, reported, or transmitted late or incorrectly or are lost for any reason, including computer, telephone, paper transfer, human or other error, or for electronic, computer or telephonic malfunction or error, including inability to access any website associated with this promotion, or process any transaction thereon. If, in the independent judges’ opinion, there is any suspected or actual evidence of tampering with any portion of the Sweepstakes, or if computer virus, bugs, unauthorized intervention, fraud, technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness or proper conduct of the Sweepstakes, the judges reserve the right at their sole discretion to disqualify any individual who tampers with the entry process, void any entries submitted fraudulently, modify or suspend the Sweepstakes, or to terminate the entire Sweepstakes or that portion of the Sweepstakes relating to the suspected or actual tampering of the Sweepstakes and conduct a random drawing to award the prizes using all non-suspect eligible entries received as of the date of such action.
